Notes

1. The above financial results have been reviewed by Audit Committee and taken on record by the Board of Directors in their Meeting held on 29th April.2008.

2. The Auditors of the Company have carried out the " Limited Review " of the above Unaudited Financial Results and there are no adverse comments.

3. Hon'ble High Court of Delhi directed to convene meetings of the Shareholders & the Unsecured Creditors of the Company to consider the Scheme of Arrangement (SOA) for merger of the Company with The Jay Engineering Works Ltd. The Meeting was held on 26.03.2008 and the SOA was approved with overwhelming majorty.Confirmation Petition under section 391 to 394 of the Companies Act has been filed on 08.04.2008 with the Hon'ble High Court of Delhi for the sanction of SOA.

4. Provision for Taxation includes provision for current, deferred and fringe benefit tax.

5. There are no exceptional items.

6. The figures of the Previous Year have been regrouped whereever necessary to make them correspond with Current Year.
